Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, systems, and services provided by Nexo Digital Solutions, operated by Wave Network LLC ("Nexo," "we," "us," or "our"). By visiting our website, booking a call, signing up for a plan, or otherwise using our services, you ("you," "client," or "user") agree to be bound by these Terms.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, please do not use our website or services.

Our Services

Nexo Digital Solutions provides AI-powered business automation services, including but not limited to:

• AI Voice Agents — automated call answering, lead qualification, and appointment booking.
• CRM & Automation — lead tracking, pipeline management, and automated workflows.
• Virtual Assistant (VA) Team — dedicated support for operations, scheduling, and admin tasks.
• Marketing Automation — email sequences, SMS campaigns, and lead nurturing.
• Website Development — design and development of custom, high-converting websites.

The exact scope of services, deliverables, timelines, and inclusions depend on the plan you select and any custom agreement made between you and Nexo. We reserve the right to modify, improve, or discontinue any part of our services at any time, with reasonable notice where practicable.

Plans, Fees & Payment

Nexo operates on a subscription basis. Current plans, features, and pricing are listed on our website and are subject to change. Where a plan includes a one-time setup fee, this is charged in addition to the recurring monthly fee and covers initial onboarding, configuration, and system build-out.

• Subscription fees are billed monthly in advance, unless otherwise agreed in writing.
• Payments are processed securely through our third-party payment processors. We do not store full card details on our systems.
• You are responsible for keeping your billing information accurate and up to date.
• Failed or late payments may result in suspension of services until the balance is resolved.
• We reserve the right to change our pricing with reasonable advance notice. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.

Cancellations & Refunds

You may cancel your subscription at any time by contacting us at hello@nexodigitalsolutions.com. Cancellation will take effect at the end of your current billing cycle, and you will retain access to your services until that date.

• One-time setup fees are non-refundable once work has commenced, as they cover time and resources already invested in your onboarding and build.
• Monthly subscription fees already paid are generally non-refundable, except where required by law or expressly agreed by Nexo in writing.
• We reserve the right to suspend or terminate your access for non-payment, misuse of our systems, or breach of these Terms.

Client Responsibilities

To help us deliver your automation system effectively, you agree to:

• Provide accurate, complete, and timely information needed to set up and operate your systems.
• Use our website, CRM, AI voice agents, and related tools only for lawful business purposes.
• Not attempt to reverse-engineer, resell, or misuse any proprietary systems, scripts, or automations we provide, except where a white-label or reseller agreement expressly permits it.
• Comply with applicable laws regarding marketing communications, including SMS and email consent requirements, when using our marketing automation tools.
• Keep any login credentials, API keys, or account access we provide secure and confidential.

Intellectual Property

All website content, branding, software, workflows, automation templates, and materials created or provided by Nexo Digital Solutions remain the intellectual property of Nexo or Wave Network LLC, unless otherwise agreed in writing.

• Upon full payment, clients receive a licence to use the specific deliverables built for them (e.g. their website, CRM setup, automations) for their own business operations.
• Underlying frameworks, templates, and proprietary automation logic remain the property of Nexo and may be reused across other client projects.
• You may not copy, distribute, or resell any Nexo systems, templates, or materials without our prior written consent.
• Any content, data, or materials you provide to us remain your property, and you grant us a licence to use them solely to deliver the agreed services.

Third-Party Tools & Services

Our services rely on and integrate with third-party platforms such as CRM software, payment processors, email and SMS providers, and other automation tools. We are not responsible for outages, changes, or issues caused by these third-party providers that are outside of our control.

Where your plan includes integrations with tools you already use, you are responsible for ensuring you have the appropriate licences and permissions for those tools to be connected to our systems.

Disclaimers & Limitation of Liability

Our services are provided on an "as is" and "as available" basis. While we work to deliver reliable, high-performing automation systems, we do not guarantee specific business outcomes such as revenue increases, lead volume, or conversion rates, as these depend on factors outside our control.

• We do not warrant that our services will be uninterrupted, error-free, or completely secure at all times.
• To the fullest extent permitted by law, Nexo Digital Solutions and Wave Network LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.
• Our total liability for any claim arising from these Terms or our services is limited to the amount you paid to Nexo in the three (3) months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Nexo Digital Solutions, Wave Network LLC, and their respective team members from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any applicable law or third-party right.

Termination

We may suspend or terminate your access to our services at any time, with or without notice, if you breach these Terms, fail to make payment, misuse our systems, or engage in conduct that we reasonably believe is harmful to Nexo, our team, or other clients.

You may terminate your agreement with us at any time in accordance with Section 04 (Cancellations & Refunds). Upon termination, your access to Nexo-provided systems and support will end, though you will retain ownership of any deliverables licensed to you under Section 06.

Governing Law

These Terms are governed by and construed in accordance with the laws applicable to Wave Network LLC's jurisdiction of operation, without regard to conflict of law principles. Any disputes arising from these Terms or our services will be resolved through good-faith negotiation in the first instance, and if unresolved, through the appropriate courts or arbitration process of that jurisdiction.

Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, business practices, or legal requirements. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify you by email if you are an existing client.
• Post a notice on our website where appropriate.

Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms of Service.
